Terms of Use

These Terms of Use govern your use of Paws for Paws, including the Wall, Spots, the Paws Club and other platform features. They form an agreement between you and SPG DIGITAL LLC as the operator of Paws for Paws.

2. About Paws for Paws

Paws for Paws is a project and online platform operated by SPG DIGITAL LLC. It is designed to build a long-term digital Wall of pets, memories and stories, provide a community for people who care about animals, and support practical help for animals through the Paws Fund initiative.

Neither Paws for Paws nor SPG DIGITAL LLC is represented as a registered charity, charitable foundation, tax-exempt nonprofit organisation or similar charitable entity.

3. Spots

Users may purchase one or more Spots on the Paws for Paws Wall. Each successfully paid Spot receives a unique Spot number and may display content submitted by the user, subject to these Terms.

The number of Spots selected and the total amount payable are displayed before payment is completed.

A Spot is a platform feature and does not represent ownership of any part of the website, SPG DIGITAL LLC, Paws for Paws, the project, intellectual property, funds or any related asset.

4. Permanent Spots

Paws for Paws is designed so that properly published Spots remain a long-term and lasting part of the Wall.

The term "permanent" describes the long-term intention of the project. It is not an absolute technical or legal guarantee that a particular Spot, website, service or item of content will remain available forever without interruption, migration, modification or removal.

A Spot or its content may be modified, hidden, restricted or removed where reasonably necessary, including where:

  • Removal or restriction is required by applicable law or a valid legal order
  • The rights, privacy or safety of another person are infringed
  • The content violates these Terms of Use or applicable community rules
  • Security, fraud-prevention, operational or technical reasons require action
  • A valid privacy, deletion or rights request applies

Subject to these circumstances, the goal of Paws for Paws remains to preserve properly submitted and published Spots as a lasting part of the Wall.

5. User-submitted content and Paws Club

Users may submit photographs, names, country information, messages, stories, profile information, Paws Club posts, comments, replies and other content.

By submitting or publishing content, the user confirms that:

  • They own the necessary rights or otherwise have permission or another lawful basis to submit and publish the content
  • Publication and use of the content as described in these Terms does not infringe the rights of another person
  • The content is not unlawful and does not facilitate unlawful activity
  • The content is not abusive, threatening, discriminatory, pornographic, fraudulently misleading, spam, harassment or otherwise seriously inappropriate for the platform
  • The information submitted is not intentionally deceptive and the user will not impersonate another person or misuse another person's identity

Users retain ownership of the rights they hold in their submitted photographs, stories, posts, comments and other content. Paws Club content is user-generated content and does not necessarily reflect the views of SPG DIGITAL LLC.

6. Licence to use submitted content

By uploading, posting or otherwise submitting content to Paws for Paws, the user grants SPG DIGITAL LLC a non-exclusive, worldwide and royalty-free licence to host, store, reproduce, technically process, display and use that content where reasonably necessary to operate, provide, protect and promote Paws for Paws.

This licence includes the right to:

  • Display submitted content on the Paws for Paws Wall, Paws Club, user profiles and other relevant areas of the platform
  • Store, reproduce, cache and technically process the content
  • Resize, crop, compress or otherwise adapt content for different screen sizes, formats and technical requirements
  • Display content together with associated information such as a Spot number, submitted name, username, country, story or community context
  • Feature suitable submitted Wall or project content on official Paws for Paws social media channels, including platforms such as TikTok, Instagram, Facebook, YouTube or comparable services
  • Use suitable submitted Wall or project content in posts, videos, Reels, Shorts and other materials created to promote and communicate Paws for Paws

Content may be technically adapted or incorporated into layouts for these purposes, but SPG DIGITAL LLC will not intentionally alter the essential meaning of a submitted story in a misleading way.

This licence does not transfer ownership of the submitted content to SPG DIGITAL LLC.

SPG DIGITAL LLC will not independently sell ownership of submitted user content to third parties or license such content for unrelated commercial purposes merely because it was submitted to Paws for Paws.

7. Moderation, accounts and community safety

SPG DIGITAL LLC may review or moderate submitted content and account activity before or after publication where reasonably necessary for the operation and safety of Paws for Paws.

Content may be rejected, hidden, edited where technically or legally necessary, restricted or removed where it violates these Terms, applicable law, third-party rights or platform rules. Accounts or access to particular features may also be restricted or suspended in cases of serious or repeated abuse, spam, harassment, fraud or other misuse.

Payment for a Spot does not create a right to have unlawful, infringing or seriously inappropriate content published or kept online. Community moderation decisions do not transfer ownership of user content to SPG DIGITAL LLC.

8. Payments

Payments are processed using the payment method or third-party payment provider identified during the relevant checkout process.

Before completing a Spot purchase, users are shown the number of Spots selected and the total amount payable.

A Spot is considered paid once successful payment has been confirmed through the relevant payment process or payment provider.

A short technical delay may occur between successful payment and publication or activation of a Spot. SPG DIGITAL LLC does not claim that any particular payment provider will remain available permanently.

9. Cancelled or failed payments

If a payment is cancelled, abandoned, reversed or unsuccessful, there is no entitlement to publication or activation of a provisionally created or reserved Spot unless payment is subsequently confirmed.

Provisional Spots associated with incomplete or unsuccessful payments may later be released, deleted or reassigned.

10. Refunds and mandatory consumer rights

Where a technical error occurs, a duplicate payment is made by mistake, or SPG DIGITAL LLC is unable to provide a paid Spot for reasons not caused by the user, a full or partial refund may be provided where appropriate.

Where a Spot has been correctly created and published, there is no automatic contractual entitlement to a refund solely because the user later changes their mind, except where applicable law provides a cancellation, withdrawal, refund or other mandatory consumer right.

Nothing in these Terms limits or excludes any consumer protection, cancellation, withdrawal, refund or other statutory right that cannot legally be waived or excluded.

11. Paws Fund and use of financial support

The Paws Fund is an initiative operated by SPG DIGITAL LLC as part of Paws for Paws to support the project's stated mission of making practical help for animals possible. It is not represented as a separate legal entity, charitable trust, registered charity, foundation or tax-exempt nonprofit organisation.

Payments, contributions and other support made through Paws for Paws are not represented as tax-deductible charitable donations unless a specific payment is expressly identified as such and the required legal status actually exists.

Information about the Paws Fund, the way relevant amounts are calculated and the intended or actual use of funds may be explained in greater detail through the transparency, Paws Fund or other informational sections of the website.

12. Availability and platform changes

SPG DIGITAL LLC aims to operate Paws for Paws reliably and for the long term.

However, uninterrupted, error-free or permanently unchanged availability cannot be guaranteed. Maintenance, security measures, technical issues, changes to third-party services, legal requirements or circumstances outside the operator's reasonable control may affect the availability or functionality of the platform.

13. Liability and community information

To the extent permitted by applicable law, SPG DIGITAL LLC is not responsible for losses arising solely from temporary technical failures, acts or omissions of independent third-party payment or hosting services, external websites, user-generated content or circumstances outside its reasonable control.

Nothing in these Terms excludes or limits liability, consumer rights or other legal responsibility where such exclusion or limitation is prohibited by applicable law.

Information shared by users in the Paws Club, including information about animal health, nutrition, behaviour or care, is user-generated and is not a substitute for professional veterinary diagnosis, treatment or advice. In urgent or medical situations, users should contact an appropriately qualified veterinarian.

14. Privacy

Information about how SPG DIGITAL LLC processes personal information in connection with Paws for Paws can be found in the Privacy Policy.

15. Changes to these Terms

These Terms of Use may be updated when Paws for Paws, SPG DIGITAL LLC, platform features, third-party services or applicable legal requirements change.

Changes will not be applied retroactively in a way that removes mandatory rights already acquired through a completed transaction unless permitted or required by applicable law. Where legally required, additional notice will be provided.
